These Terms of Service (“Terms”) govern your use of the Zeluna platform at usezeluna.com (the “Service”), operated by JW Smith Holdings LLC, a California limited liability company (“Zeluna,” “we,” “us,” “our”). By signing up for an account, accessing the Service, or otherwise using the Service, you agree to these Terms.
If you don't agree to these Terms, don't use the Service.
1. Who can use the Service
You may use the Service only if you are at least 18 years old and able to form a binding contract. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, and “you” in these Terms refers to both you personally and that entity.
The Service is intended for pet grooming businesses operating in the United States. International use is permitted but not optimized for; some features (SMS, payment processing) may not be available outside the U.S.
2. Your account
You're responsible for keeping your account credentials secure. You must notify us immediately if you suspect unauthorized access to your account.
You're responsible for all activity on your account, including activity by any staff members you invite. We are not liable for losses caused by stolen or shared credentials.
You agree to provide accurate and complete information when you create your account and to keep that information up to date.
3. Acceptable use
When using the Service, you agree NOT to:
- Violate any applicable law, regulation, or third-party right
- Send messages (SMS or email) without proper consent from the recipient
- Use the Service to send spam, unsolicited marketing, or any content prohibited by carrier policies (see SMS Messaging Policy)
- Use the Service to send content involving cannabis, firearms, hate speech, sexually explicit material, gambling, payday lending, debt collection, or any other content carriers prohibit
- Attempt to access another Customer's account, data, or organization
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use automated tools to scrape, crawl, or extract data from the Service
- Resell, sublicense, or repackage the Service to third parties without our written consent
- Use the Service to impersonate any person or business
- Upload malware, viruses, or any code intended to disrupt the Service
- Take any action that could damage, disable, or impair the Service
We may suspend or terminate accounts that violate these terms, with or without notice.
4. Subscriptions and payment
The Service is offered on subscription tiers. Current pricing and tier features are published at usezeluna.com/pricing.
4.1 Free trial
All tiers include a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service.
4.2 Billing
Subscriptions are billed monthly or annually, in advance. Annual subscriptions are billed at the time of purchase for the full year. Monthly subscriptions are billed on the same calendar day each month.
Payment is processed by Stripe. By providing payment information, you authorize us (via Stripe) to charge the applicable fee for your subscription tier.
4.3 Price changes
For existing subscriptions, we will not raise your price during the first 12 months of your subscription. After 12 months, we may change pricing with at least 90 days' written notice via email. Annual subscribers retain their existing rate through the end of the prepaid term.
If pricing decreases, existing customers will be offered the lower price.
4.4 SMS overages and credits
Subscription tiers include a monthly allotment of SMS messages. Messages above the allotment are billed at the overage rate published on the pricing page (currently $0.025 per message), or deducted from purchased SMS credit packs. SMS credit packs do not expire.
The Solo Starter tier has a hard cap at the monthly allotment; messages above the cap are blocked until credits are purchased or the account is upgraded.
4.5 Cancellation
You may cancel your subscription at any time through the Service or by emailing support@usezeluna.com. Cancellation takes effect at the end of the current billing period. Annual subscribers may continue to use the Service through the end of the prepaid period.
We do not offer refunds for partial months or partial years, except where required by law.
4.6 Failed payments
If a payment fails, we will retry the charge for up to 14 days. If payment cannot be completed, your account will be moved to a “past due” state with limited functionality. If payment remains failed after 30 days, the account may be suspended.
5. Integrated payments (Stripe Connect)
Customers may optionally connect a Stripe account to accept payments from their End Users through the Zeluna platform. These payments are processed entirely by Stripe under your own Stripe account; Zeluna is not the merchant of record for those transactions.
Standard Stripe processing rates apply. Zeluna does not charge an additional percentage on payments processed through Stripe Connect.
You agree to comply with Stripe's terms of service for the connected account.
6. Your content; our content
6.1 Your content
You retain all rights to the content you upload to the Service — Customer business information, End User records, pet records, photos, notes, messages, etc. (“Your Content”). You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely to provide the Service to you.
You represent that you have all necessary rights and consents for the content you upload, including consent from End Users to store their information.
6.2 Our content
The Service itself — software code, design, trademarks, logos, the “Zeluna” name and brand — is owned by us. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Nothing in these Terms transfers ownership of any intellectual property to you.
6.3 Feedback
If you send us feedback, suggestions, or feature requests, you grant us a perpetual, worldwide, royalty-free right to use that feedback to improve the Service, without obligation to compensate or credit you.
7. Data portability
Customers may export their data at any time through the dashboard, in standard formats (CSV at minimum). We do not impose technical or contractual barriers to leaving the Service.
If you cancel your account, we will retain a backup of your data for up to 90 days before permanent deletion, in case you need to retrieve information after cancellation. You may request immediate permanent deletion by emailing support@usezeluna.com.
8. Service availability
We aim for high availability but do not guarantee that the Service will be available without interruption. The Service may be unavailable due to:
- Scheduled maintenance (we will provide notice when feasible)
- Unscheduled maintenance for security or critical fixes
- Outages of upstream providers (Supabase, Vercel, Stripe, Twilio, Resend, Cloudflare)
- Force majeure events
We will not be liable for losses caused by Service unavailability.
9. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components.
You use the Service at your own risk.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZELUNA, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you in full.
11. Indemnification
You agree to indemnify and hold harmless Zeluna and its affiliates from any claims, losses, damages, and expenses (including reasonable attorney fees) arising out of:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or third-party right (including the rights of End Users)
- Your Content
- Your failure to obtain proper consent from End Users for messages sent through the Service
12. Termination
You may terminate your account at any time as described in Section 4.5.
We may terminate or suspend your account if you breach these Terms, fail to pay, or use the Service in a way we determine to be abusive, fraudulent, or harmful.
On termination, your right to use the Service ends. Sections that by their nature should survive termination (including 6.2, 9, 10, 11, 13, and 14) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Any dispute arising out of or related to these Terms or the Service will be resolved through binding arbitration administered by JAMS in San Bernardino County, California, except that either party may bring claims in small claims court if they qualify.
You and Zeluna each waive the right to a jury trial and to participate in a class action.
14. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and SMS Messaging Policy, constitute the entire agreement between you and Zeluna regarding the Service.
No waiver. Our failure to enforce any right under these Terms does not waive that right.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
No assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a sale, merger, or other transfer of our business.
Notices. We may give notices to you by email or through the Service. You may give notices to us by emailing support@usezeluna.com.
Updates. We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use after the effective date means acceptance of the updated Terms.
